1. Acceptance of Terms

By accessing and using ADI Pro (adipro.co.uk), you agree to be bound by these Terms of Use, our End User License Agreement (EULA), our Terms and Conditions, our Privacy Policy, our Intellectual Property & Copyright Policy, and our Cookie Policy. If you do not agree to any of these terms, please do not use the Service.

ADI Pro is a trading name of AWN AppWorks LTD, a company registered in England and Wales (company number 17266867), with its registered office at 66 Paul Street, London, EC2A 4NA, United Kingdom. AWN AppWorks LTD is the sole legal owner and publisher of ADI Pro. By using ADI Pro, you enter into a legal agreement with AWN AppWorks LTD as a limited company — not with any individual director, employee, or agent. This arrangement limits personal liability in accordance with the Companies Act 2006 and applicable law.

These Terms of Use apply to all users of ADI Pro, including Approved Driving Instructors (ADIs), Potential Driving Instructors (PDIs), School Owners, and Learner Drivers (Students).

2. About ADI Pro

ADI Pro is a management platform for UK Approved Driving Instructors (ADIs), Potential Driving Instructors (PDIs), their schools, and their learner drivers. The platform provides tools for:

  • Diary and calendar management for scheduling lessons
  • Student profiles, progress tracking, and lesson history
  • Direct messaging between ADIs/PDIs and learner drivers
  • Financial record keeping — income, expenses, mileage, and tax reports
  • AI-powered driving knowledge assistant and app support chat
  • UK driving syllabus with structured lesson content
  • Digital whiteboard for explaining manoeuvres and road layouts
  • Mock driving test marking and recording
  • Learner driver lesson booking and availability management
  • Show Me, Tell Me question practice
  • Road signs recognition quiz
  • Multi-instructor school management

3. Eligibility — ADIs and PDIs

3.1 To use ADI Pro as an instructor, you must hold a valid ADI qualification (green badge) issued by the DVSA, or be a Potential Driving Instructor (PDI) with a valid DVSA trainee licence (pink badge).

3.2 You must maintain valid certification and appropriate business insurance throughout your use of the Service.

3.3 If your ADI or PDI badge expires or is revoked, you must update your account accordingly. Continued use of the Service while not holding a valid qualification may result in account suspension.

4. User Accounts

4.1 You are responsible for maintaining the confidentiality of your account credentials, including your email and password. You agree to notify us immediately of any unauthorised use of your account.

4.2 You must not share your login credentials with any other person.

4.3 You are responsible for all activity that occurs under your account.

4.4 Learner driver accounts are linked to a specific ADI, PDI, or school upon registration.

5. Learner Driver Data Responsibilities (for ADIs and PDIs)

Important — Data Controller Obligations:

As an ADI or PDI, you are a data controller under UK GDPR for the student personal data you collect and manage. ADI Pro acts as a data processor on your behalf. You have independent legal obligations regarding student data.

5.1 You must ensure you have a lawful basis for collecting and processing learner driver personal data.

5.2 You must inform your learner drivers about what data you collect, how it is used, and their rights under UK GDPR. We recommend using the Student Terms feature in School Settings.

5.3 You must only collect data that is necessary for your teaching business.

5.4 You must respond to learner driver data requests (access, correction, deletion) within 30 days as required by UK GDPR.

6. Acceptable Use

You agree not to:

  • Use the Service for any illegal or unauthorised purpose
  • Violate any laws applicable in your jurisdiction, including UK road traffic and data protection laws
  • Transmit any malicious code, viruses, or attempt to gain unauthorised access to any part of the Service
  • Harass, abuse, threaten, or discriminate against another user through the Service
  • Impersonate any person or entity
  • Use the messaging features to send spam, unsolicited advertising, or inappropriate content
  • Attempt to scrape, copy, or reverse-engineer any part of the Service
  • Use the AI Assistant to generate harmful, misleading, or inappropriate content
  • Upload illegal, obscene, or copyrighted content without permission
  • Misrepresent your ADI or PDI qualifications or professional status

7. Lesson Bookings

7.1 Learner drivers can request lesson bookings through the platform. All booking requests are subject to approval by the assigned ADI or PDI.

7.2 The platform provides scheduling tools only. The actual driving lesson is a private arrangement between the learner driver and their ADI or PDI.

7.3 Cancellation policies are set by individual ADIs, PDIs, or schools. Learner drivers should review their instructor's cancellation policy before booking.

7.4 ADI Pro is not responsible for missed, cancelled, or rescheduled lessons. Disputes should be resolved directly between the learner driver and their instructor.

8. Payments and Subscriptions

8.1 ADI and PDI subscriptions are billed through Stripe. Payments will appear on your bank or card statement as "AWN AppWorks LTD".

8.2 Learner driver payments for lesson packages (where enabled by the ADI or PDI) are processed through the instructor's or school's own Stripe Connect account. ADI Pro does not receive or hold these funds.

8.3 Subscription fees are non-refundable except where required by applicable law. You may cancel your subscription at any time; access continues until the end of the current billing period.

8.4 If your subscription lapses, your account will be restricted. Your data will be retained for 90 days, after which it may be deleted if you do not resubscribe.

8.5 For refund requests relating to lesson payments, learner drivers should contact their ADI, PDI, or school directly.

9. School Management

9.1 School Owners can invite additional ADIs and PDIs to join their school. School Owners are responsible for the conduct and data handling practices of instructors they invite.

9.2 Student transfers between instructors within a school will share relevant student data with the receiving instructor. Students should be informed about transfers.

9.3 Inter-instructor payments recorded within the platform are private arrangements between the parties. ADI Pro does not process, hold, or guarantee these payments.

9.4 If an ADI or PDI is removed from a school, their access to school data and student records will be revoked.

10. Financial Records and Tax

10.1 ADI Pro provides tools to record income, expenses, and mileage for convenience. These records are provided "as is" and do not constitute financial or tax advice.

10.2 ADIs and PDIs are solely responsible for the accuracy of their financial records and for complying with HMRC requirements for tax filing, Self Assessment, and record-keeping.

10.3 We recommend exporting your financial data regularly and consulting a qualified accountant for tax matters.

10.4 ADI Pro and AWN AppWorks LTD accept no liability for any tax penalties, miscalculations, or financial losses resulting from use of the finance features.

11. AI Assistant

11.1 ADI Pro includes an AI-powered chat assistant that provides driving knowledge, Highway Code information, teaching tips, and app support.

11.2 The AI Assistant is for informational and educational purposes only. It is not a substitute for professional driving instruction, legal advice, or tax advice.

11.3 While we strive for accuracy, AI-generated responses may occasionally contain errors. Always verify important information with official sources such as the Highway Code, DVSA, or HMRC.

11.4 AI conversations are not permanently stored. Chat history exists only within your current session.

12. Messaging and Communication

12.1 Messages between users are private and stored securely on our servers for the purpose of providing the Service.

12.2 You must not use the messaging features to send abusive, threatening, discriminatory, or inappropriate content.

12.3 Automated lesson reminders may be sent via email or SMS based on notification preferences. You can manage your notification settings within the app.

13. Content and Uploads

13.1 You retain ownership of any content you upload, create, or submit through the Service (including photos, videos, whiteboard drawings, lesson notes, and messages).

13.2 By uploading content, you grant AWN AppWorks LTD a non-exclusive, royalty-free licence to store, display, and transmit your content as necessary to provide the Service.

13.3 You must not upload content that infringes on any third party's intellectual property rights, or content that is illegal, obscene, or harmful.

14. Intellectual Property

All content, features, design, branding, and functionality of ADI Pro are owned by AWN AppWorks LTD and are protected by copyright, trademark, and other intellectual property laws of England and Wales.

You may not reproduce, distribute, modify, create derivative works of, publicly display, or otherwise exploit any part of the Service without our prior written consent.

15. Limitation of Liability

ADI Pro is provided "as is" and "as available". AWN AppWorks LTD makes no warranties of any kind regarding the reliability, availability, accuracy, or continuity of the Service.

To the fullest extent permitted by law, AWN AppWorks LTD and its directors, officers, employees, and agents shall not be liable for any loss or damage arising from or in connection with your use of ADI Pro, including but not limited to:

  • Loss of diary records or scheduling data — including all historical lesson appointments, recurring bookings, available slots, booking requests, or any diary content, however caused
  • Loss of student data or student relationships — including student profiles, lesson histories, progress records, credit balances, mock test results, or any loss of students from your roster for any reason
  • Loss of financial records — including income entries, expense records, mileage logs, recurring configurations, financial statements, or any other financial data stored on the platform
  • Loss of income or revenue — including lost earnings from lessons not booked, rescheduled, or affected by any platform issue, outage, or service failure
  • Loss of money or payment disputes — including payment disputes, failed transactions, incorrect credit balances, or any financial loss from payment features
  • Loss of business — including loss of students, school members, bookings, or any business interruption caused by platform issues
  • Data loss or corruption — including loss of uploads, whiteboard saves, custom lessons, messages, or any content stored on the platform, however caused
  • Server failures or service interruptions — including downtime, outages, performance degradation, or loss of access to the platform for any duration
  • Third-party service failures — including failures of Stripe, OpenAI, Twilio, HMRC APIs, or any other integrated third-party service
  • AI Assistant inaccuracies — including any incorrect, outdated, or misleading information provided by the AI chat feature
  • HMRC / MTD submission issues — including failed, rejected, or incorrectly submitted tax data through the platform's MTD features
  • Indirect, incidental, special, consequential, or punitive damages of any nature

Maximum liability: AWN AppWorks LTD's total aggregate liability shall not exceed the total subscription fees paid by you in the twelve (12) months preceding the claim, or xA3100 (one hundred pounds sterling), whichever is the lesser.

You are solely responsible for maintaining your own backups of all important data. We strongly encourage regular exports of financial records, student data, and diary information using the export features within the platform.

16. Account Suspension and Termination

We reserve the right to suspend or terminate your account at any time if you breach these Terms, engage in fraudulent or illegal activity, or misuse the Service.

You may request account deletion by contacting us at contact@adipro.co.uk or using the Data Deletion Request page. Upon deletion, your personal data will be handled in accordance with our Privacy Policy.

17. Changes to Terms

We reserve the right to modify these Terms of Use at any time. Significant changes will be communicated via email or through the Service. Continued use of the Service after changes constitutes acceptance of the modified terms.

18. Governing Law

These Terms of Use are governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
