End User License Agreement (EULA)

1. Parties and Legal Owner

This End User License Agreement ("EULA") is a legal agreement between you (the end user — whether an individual or entity) and AWN AppWorks LTD, a company registered in England and Wales under company number 17266867, with its registered office at 66 Paul Street, London, EC2A 4NA, United Kingdom.

ADI Pro is a trading name of AWN AppWorks LTD. The software, platform, mobile application, web application, and all associated services marketed and operated under the name "ADI Pro" are the exclusive property of AWN AppWorks LTD.

AWN AppWorks LTD is the sole legal owner and publisher of ADI Pro. By entering into this EULA, you are entering into a binding legal agreement with AWN AppWorks LTD as a limited company. This agreement is with the company, not with any individual director, employee, or agent of the company.

2. The Software

"ADI Pro" refers to the software platform, including:

  • The web application accessible at adipro.co.uk
  • The ADI Pro iOS mobile application available on the Apple App Store
  • The ADI Pro Android mobile application (where available)
  • All APIs, backend services, databases, and infrastructure supporting the above
  • All documentation, help content, and in-app guides
  • Any updates, upgrades, patches, or new versions released by AWN AppWorks LTD

3. Grant of License

3.1 Subject to your acceptance of and compliance with this EULA and payment of any applicable subscription fees, AWN AppWorks LTD grants you a limited, non-exclusive, non-transferable, revocable licence to access and use ADI Pro solely for your personal or internal business purposes as a driving instructor, potential driving instructor, driving school owner, or learner driver in the United Kingdom.

3.2 This licence does not include the right to:

  • Sub-license, sell, resell, transfer, assign, or otherwise exploit the software
  • Modify, adapt, translate, reverse engineer, decompile, disassemble, or create derivative works based on the software
  • Copy, reproduce, distribute, or transmit any part of the software or its content
  • Use the software to build a competing product or service
  • Remove or alter any proprietary notices, labels, or marks on the software
  • Use automated tools, bots, scrapers, or scripts to access or extract data from the software
  • Share your account credentials with any third party

3.3 All rights not expressly granted in this EULA are reserved by AWN AppWorks LTD.

4. Intellectual Property Ownership

4.1 ADI Pro, including all of its source code, software architecture, design, user interface, user experience, graphics, images, icons, logos, text, lesson content, syllabus materials, whiteboard assets, brand identity, marketing materials, and all other features and content, are the exclusive intellectual property of AWN AppWorks LTDand are protected by:

  • The Copyright, Designs and Patents Act 1988 (United Kingdom)
  • UK and international trademark law
  • The Trade Marks Act 1994 (United Kingdom)
  • General intellectual property law of England and Wales

4.2 The ADI Pro name and logo are registered trademarks of AWN AppWorks LTD, registered with the UK Intellectual Property Office (UKIPO). Unauthorised use of the ADI Pro name, logo, or brand in any form — including in domain names, social media handles, advertising, or any other commercial context — is strictly prohibited and constitutes trademark infringement.

4.3 You acknowledge that you obtain no ownership rights in or to the software by virtue of this EULA or your use of ADI Pro. This EULA grants you a limited licence to use the software, not ownership of the software itself.

5. User Content

5.1 You retain ownership of any content you create and upload to ADI Pro, including lesson notes, whiteboard drawings, uploaded images, diary entries, and messages ("User Content").

5.2 By submitting User Content to ADI Pro, you grant AWN AppWorks LTD a worldwide, royalty-free, non-exclusive licence to store, process, display, and transmit your User Content solely as necessary to provide the Service.

5.3 You are solely responsible for your User Content. You warrant that your User Content does not infringe any third-party intellectual property rights and complies with all applicable laws.

6. Software Provided "As Is" — Important Disclaimers

ADI Pro is provided strictly on an "AS IS" and "AS AVAILABLE" basis. AWN AppWorks LTD makes no warranties, representations, or guarantees of any kind, whether express or implied, regarding the software or the continuity, reliability, availability, or accuracy of the Service.

To the fullest extent permitted by applicable law, AWN AppWorks LTD expressly disclaims:

  • Any implied warranty of merchantability or fitness for a particular purpose
  • Any warranty that the software will be uninterrupted, error-free, or free from bugs
  • Any warranty regarding the accuracy, completeness, or reliability of any content, data, or information provided through the software
  • Any warranty that the software will meet your requirements
  • Any warranty regarding the permanent retention or security of data stored on the platform

6.1 AWN AppWorks LTD does not warrant that the Service will be available at all times. The Service may be subject to scheduled maintenance, unscheduled outages, technical failures, server errors, or discontinuation at any time, with or without notice.

7. Limitation of Liability

7.1 To the maximum extent permitted by law, AWN AppWorks LTD, its directors, officers, employees, shareholders, agents, and licensors shall not be liable for any loss or damage whatsoever arising from or in connection with your use of, or inability to use, ADI Pro, including but not limited to:

  • Loss of diary records or scheduling data — including historical lesson appointments, recurring slot configurations, booking requests, or any diary content, whether caused by server failure, software bugs, database errors, or any other technical issue
  • Loss of student data or student relationships — including student profiles, lesson histories, progress records, credit balances, mock test results, or the loss of any student from your roster for any reason, including platform issues, account changes, or technical failures
  • Loss of financial records — including income entries, expense records, mileage logs, payment histories, financial statements, or any other financial data stored on the platform
  • Loss of income or revenue — including loss of earnings from lessons not booked, not rescheduled, or otherwise affected by any platform issue or outage
  • Loss of money or payments — including payment disputes between users, failed payment transactions, incorrect credit balances, or any financial loss arising from payment features
  • Loss of business — including loss of students, loss of school members, loss of bookings, damage to reputation, or any business interruption
  • Data loss or corruption — including loss of any data, files, uploads, whiteboard saves, custom lessons, messages, or any other content stored on the platform, whether caused by server failure, maintenance, accidental deletion, or otherwise
  • Server failures or service interruptions — including downtime, outages, performance degradation, or any loss of access to the platform, regardless of duration
  • Third-party service failures — including failures of Stripe, OpenAI, Twilio, HMRC APIs, or any other third-party service integrated with ADI Pro
  • AI Assistant inaccuracies — including any incorrect, outdated, or misleading information provided by the AI chat feature
  • HMRC / MTD submission issues — including failed, rejected, or incorrectly submitted tax data through the Making Tax Digital features
  • Indirect, consequential, incidental, special, or punitive damages of any nature

7.2 Maximum Aggregate Liability: In any event, the total aggregate liability of AWN AppWorks LTD to you under or in connection with this EULA shall not exceed the total subscription fees paid by you to AWN AppWorks LTD during the twelve (12) months immediately preceding the event giving rise to the claim, or xA3100 (one hundred pounds sterling), whichever is the lesser amount.

7.3 Some jurisdictions do not allow the exclusion of certain warranties or limitations on liability. In such jurisdictions, liability is limited to the maximum extent permitted by law.

8. Data Backup Responsibility

Your Responsibility

You are responsible for maintaining your own backups of any important data stored on ADI Pro. We strongly recommend exporting your financial records, student data, and diary information regularly using the export features provided within the platform.

AWN AppWorks LTD takes reasonable measures to protect data stored on its servers and maintains database backups; however, we do not guarantee recovery of lost data in all circumstances. We strongly encourage all users — particularly ADIs and PDIs — to regularly export their financial records, as HMRC requires records to be kept for a minimum of 5–7 years.

9. Subscription Fees and Access

9.1 Access to ADI Pro's instructor features requires a valid paid subscription. Subscription fees are billed by AWN AppWorks LTD through Stripe and will appear on your bank or card statement as "AWN AppWorks LTD".

9.2 Failure to maintain a valid subscription will result in restricted access to the platform.

9.3 Subscription fees are non-refundable except where required by law.

10. Term and Termination

10.1 This EULA is effective from the date you first access ADI Pro and continues until terminated.

10.2 AWN AppWorks LTD may terminate or suspend this licence immediately, without prior notice, if you breach any term of this EULA, these Terms and Conditions, the Terms of Use, or any other applicable policy.

10.3 You may terminate this licence by deleting your account and ceasing all use of ADI Pro.

10.4 Upon termination, all rights granted to you under this EULA cease immediately. Sections relating to intellectual property, liability, indemnification, and governing law shall survive termination.

11. Indemnification

You agree to indemnify, defend, and hold harmless AWN AppWorks LTD, its directors, officers, employees, agents, and successors from and against any and all claims, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of ADI Pro; (b) your breach of this EULA; (c) your violation of any applicable law or regulation; (d) any content you submit to the platform; or (e) your breach of any rights of a third party.

12. Apple App Store and Google Play

If you downloaded ADI Pro from the Apple App Store or Google Play Store, the following additional terms apply:

  • This EULA is between you and AWN AppWorks LTD only — not with Apple Inc. or Google LLC. Apple Inc. and Google LLC are not parties to this EULA.
  • Apple Inc. and Google LLC are not responsible for ADI Pro or its content.
  • Apple Inc. and Google LLC have no obligation to provide any maintenance or support for ADI Pro.
  • In the event of any failure to conform to any applicable warranty, you may notify Apple Inc. or Google LLC (as applicable), and they may refund the purchase price (if any); beyond that, Apple Inc. and Google LLC have no other warranty obligations with respect to ADI Pro.
  • Apple Inc. and Google LLC are not responsible for addressing any claims by you or any third party relating to ADI Pro.
  • If you are using the iOS version of ADI Pro, you acknowledge that Apple Inc. has no obligation whatsoever to furnish any maintenance and support services with respect to ADI Pro.

13. Privacy

Your use of ADI Pro is also governed by our Privacy Policy, which is incorporated into this EULA by reference. By using ADI Pro, you consent to the collection and use of your personal information as described in the Privacy Policy.

14. Governing Law and Jurisdiction

This EULA shall be governed by and construed in accordance with the laws of England and Wales. Any dispute arising out of or in connection with this EULA shall be subject to the exclusive jurisdiction of the courts of England and Wales.

If you are a consumer resident in Scotland or Northern Ireland, you may also be entitled to bring proceedings in the courts of those nations.

15. Entire Agreement

This EULA, together with the Terms and Conditions, Terms of Use, Privacy Policy, and Intellectual Property & Copyright Policy, constitutes the entire agreement between you and AWN AppWorks LTD with respect to ADI Pro and supersedes all prior or contemporaneous understandings, agreements, representations, and warranties, whether written or oral.
