1. Introduction

Welcome to ADI Pro (adipro.co.uk). ADI Pro is a trading name of AWN AppWorks LTD, a company registered in England and Wales, company number 17266867. Registered office: 66 Paul Street, London, EC2A 4NA, United Kingdom. Hereinafter referred to as "we", "us", "our", or "the Company".

AWN AppWorks LTD is the sole legal owner and publisher of ADI Pro. By accessing or using the ADI Pro application (the "Service"), including the web application, mobile application, and any related services, you are entering into a binding legal agreement with AWN AppWorks LTD as a limited company — not with any individual director, employee, or agent. This arrangement limits personal liability in accordance with the Companies Act 2006 and applicable law.

By using the Service, you agree to be bound by these Terms and Conditions, our End User License Agreement (EULA), Terms of Use, Privacy Policy, Intellectual Property & Copyright Policy, and Cookie Policy. If you do not agree, please do not use the Service.

ADI Pro is a software platform designed to facilitate communication, scheduling, lesson management, financial tracking, and administrative tasks between Approved Driving Instructors (ADIs), Potential Driving Instructors (PDIs), driving schools, and their students.

ADI Pro is a facilitator only. We do not provide driving instruction services, hold money, or directly process payments between instructors and students.

2. Definitions

  • "Platform" refers to the ADI Pro web application, mobile application, and all related services.
  • "ADI" refers to an Approved Driving Instructor holding a valid DVSA green badge.
  • "PDI" refers to a Potential Driving Instructor holding a valid DVSA trainee licence (pink badge).
  • "Instructor" refers collectively to any ADI or PDI who creates an account and uses the Service.
  • "School Owner" refers to an ADI who creates and manages a driving school within the Platform.
  • "Student" or "Learner Driver" refers to any learner driver who registers to use the Student features of the Service.
  • "User" refers to any person who accesses or uses the Service, including ADIs, PDIs, School Owners, and Students.
  • "Content" refers to any text, images, data, lesson materials, messages, or other information submitted to or generated by the Service.

3. Eligibility and Registration

3.1 To register as an Instructor, you must hold a valid ADI qualification issued by the DVSA (Driver and Vehicle Standards Agency) or be a trainee driving instructor with a valid pink badge.

3.2 To register as a Student, you must be at least 16 years of age (or the minimum age to hold a provisional driving licence in the UK).

3.3 You must provide accurate and complete information during registration. You are responsible for maintaining the accuracy of your account information.

3.4 You are responsible for maintaining the confidentiality of your account credentials, including your password. You agree to notify us immediately of any unauthorised use of your account.

3.5 We reserve the right to refuse registration, suspend, or terminate any account at our sole discretion.

4. The Service

ADI Pro provides the following features:

  • Diary & Scheduling — calendar management, lesson scheduling, recurring bookings, and availability management for Instructors
  • Student Management — student profiles, progress tracking, lesson history, and mock test recording
  • Messaging — direct communication between Instructors and Students, and between Instructors within a school
  • Financial Tracking — income and expense recording, mileage logging, recurring expense management, and monthly/annual reports for tax purposes
  • Lesson Syllabus — structured UK driving lesson content with teaching notes
  • Whiteboard — digital drawing tool for explaining manoeuvres and road layouts
  • Mock Driving Tests — simulated test marking and result recording
  • AI Assistant — an AI-powered chat assistant for driving knowledge, teaching methodology, Highway Code guidance, and app support
  • Student Booking — students can request lesson bookings through available slots
  • Show Me, Tell Me Practice — vehicle safety check question practice
  • Road Signs Quiz — interactive quiz for road sign recognition
  • School Management — multi-instructor school management, instructor invitations, student transfers, and inter-instructor payments

4.2 We reserve the right to modify, suspend, or discontinue any feature of the Service at any time, with or without notice.

5. Subscriptions and Billing

5.1 Certain features of ADI Pro require a paid subscription. Subscription plans and pricing are displayed within the Service.

5.2 Subscription fees are billed on a recurring basis (monthly or annually, depending on the plan selected) and are processed by Stripe on behalf of AWN AppWorks LTD. Payments will appear on your bank statement as "AWN AppWorks".

5.3 All subscription fees are in British Pounds (GBP) unless otherwise stated.

5.4 You may cancel your subscription at any time through your account settings or the Stripe customer portal. Cancellation takes effect at the end of the current billing period — you will continue to have access until then.

5.5 Subscription fees are non-refundable, except where required by applicable law or at our sole discretion.

5.6 We reserve the right to change subscription pricing with reasonable notice. Existing subscribers will be notified before any price change takes effect.

6. Payment Facilitation Between Users

Important Payment Notice:

  • All payments between Students and Instructors are direct agreements between those parties
  • ADI Pro and AWN AppWorks LTD do not hold, process, or guarantee any payments between Users
  • We only provide tools to record and track payment agreements
  • Refunds, disputes, and payment protection are governed by the Instructor's or School's own policies
  • ADI Pro is not responsible for any payment disputes or non-delivery of services

6.1 Student-Instructor Payments: The Platform allows recording of payments made via cash, bank transfer, PayPal, Google Pay, Apple Pay, or payment links. These records are for tracking purposes only. Any payment from a Student to an Instructor constitutes a private agreement between those parties.

6.2 Instructor-Owner Payments: Payments between Instructors and School Owners (such as franchise fees, app fees, or any other payments) are private agreements between those parties. ADI Pro provides tools to record these payments but does not guarantee, process, or mediate these transactions.

6.3 Student Credit Purchases: Where Instructors enable online payment for lesson packages via Stripe, payments are processed through the Instructor's or School's own Stripe Connect account. ADI Pro and AWN AppWorks LTD act only as a technology platform facilitating the connection. We are not a party to the transaction between Student and Instructor.

7. Our Revenue Model

ADI Pro generates revenue exclusively from app subscription fees paid by Instructors and School Owners. We do not take any commission, percentage, or fee from Student payments, Instructor payments, or any transactions between Users.

8. User Responsibilities

8.1 All Users must:

  • Provide accurate and truthful information
  • Use the Service only for lawful purposes
  • Not attempt to gain unauthorised access to any part of the Service
  • Not transmit any malicious software, spam, or harmful content
  • Not harass, abuse, or threaten other Users
  • Not impersonate any person or entity
  • Comply with all applicable laws and regulations

8.2 Instructors and School Owners must additionally:

  • Hold appropriate and valid ADI certification and insurance at all times
  • Clearly communicate their own refund and cancellation policies to Students
  • Handle all Student complaints and disputes professionally and in accordance with relevant regulations
  • Accurately record payments and lesson delivery
  • Comply with all DVSA regulations and requirements
  • Display their ADI badge as required by law

8.3 Students must additionally:

  • Understand that payments are made directly to Instructors, not to ADI Pro or AWN AppWorks LTD
  • Review and agree to their Instructor's or School's policies before making payments
  • Contact their Instructor or School directly for refunds or disputes
  • Hold a valid provisional or full driving licence as required for lessons

9. AI Assistant

9.1 ADI Pro includes an AI-powered chat assistant that provides information about driving, the Highway Code, teaching methodology, and app support.

9.2 The AI Assistant is provided for informational and educational purposes only. Responses are generated by artificial intelligence and may not always be accurate, complete, or up to date.

9.3 The AI Assistant does not constitute professional advice. For matters relating to road law, regulations, tax, or legal obligations, Users should consult official sources (such as the DVSA, HMRC, or the official Highway Code) or seek professional advice.

9.4 ADI Pro and AWN AppWorks LTD accept no liability for any decisions made or actions taken based on information provided by the AI Assistant.

9.5 Conversations with the AI Assistant are not stored permanently. Message history is maintained only within the current session and is cleared when you close the chat.

10. Intellectual Property

10.1 All content, features, design, code, trademarks, and functionality of ADI Pro are owned by AWN AppWorks LTD and are protected by copyright, trademark, and other intellectual property laws.

10.2 You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent.

10.3 Content you submit to the Service (such as lesson notes, whiteboard drawings, messages, and uploaded images) remains your property. By submitting Content, you grant us a licence to use, store, and display it as necessary to provide the Service.

11. Limitation of Liability

ADI Pro is provided "as is" and "as available". AWN AppWorks LTD makes no warranties of any kind regarding reliability, availability, accuracy, or continuity of the Service.

11.1 ADI Pro and the Service are provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

11.2 To the fullest extent permitted by law, AWN AppWorks LTD shall not be liable for:

  • Loss of diary records or scheduling data — including historical lesson appointments, recurring bookings, available slots, booking requests, or any diary content, however caused
  • Loss of students or student relationships — including student profiles, lesson histories, progress records, credit balances, mock test results, or any students being removed from your roster due to platform issues
  • Loss of financial records — including income entries, expense records, mileage logs, recurring expense configurations, financial statements, or any other financial data stored on the platform
  • Loss of income or revenue — including any lost earnings from lessons not booked, rescheduled, or otherwise affected by platform issues, outages, or failures
  • Loss of money or payment disputes — including payment disputes, failed transactions, incorrect credit balances, or any financial loss from payment-related features
  • Data loss or corruption — including loss of uploads, whiteboard saves, custom lessons, messages, or any content stored on the platform, however caused
  • Server failures or service interruptions — including downtime, outages, performance issues, or loss of access to the platform for any duration
  • Payment disputes between Students and Instructors
  • Non-delivery or quality of driving lessons or services
  • Accuracy of AI Assistant responses
  • HMRC / MTD submission failures or incorrect tax submissions
  • Actions or omissions of third-party providers (Stripe, OpenAI, Twilio)
  • Any indirect, incidental, special, consequential, or punitive damages

11.3 Our total liability for any claim arising from or related to the Service shall not exceed the total subscription fees paid by you in the twelve (12) months preceding the claim, or xA3100 (one hundred pounds sterling), whichever is the lesser.

11.4 You are solely responsible for maintaining your own backups of all important data stored on ADI Pro. We strongly recommend regularly exporting financial records, student data, and diary information using the platform's export features.

12. Indemnification

You agree to indemnify and hold harmless AWN AppWorks LTD, its directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

13. Account Suspension and Termination

13.1 We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, misuse the Platform, or for any other reason at our sole discretion.

13.2 You may delete your account at any time by contacting us. Upon deletion, your data will be removed in accordance with our Privacy Policy.

13.3 Termination does not absolve Users of any existing payment agreements made with other Users outside of the Platform.

14. Third-Party Services

The Service integrates with or relies on third-party services, including but not limited to:

  • Stripe — for subscription billing and payment processing
  • OpenAI — for AI Assistant functionality
  • Twilio — for SMS notifications and lesson reminders

We are not responsible for the availability, accuracy, or practices of third-party services. Your use of third-party services is subject to their respective terms and conditions.

15. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal information.

By using the Service, you consent to the collection and processing of your data as described in our Privacy Policy.

16. Changes to These Terms

We may update these Terms and Conditions from time to time. When we make significant changes, we will notify Users via email or through the Service.

Continued use of the Service after changes have been posted constitutes acceptance of the updated Terms. If you do not agree with the updated Terms, you should stop using the Service and contact us to close your account.

17. Governing Law and Disputes

17.1 These Terms are governed by and construed in accordance with the laws of England and Wales.

17.2 Any disputes arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.

18. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.

19. Entire Agreement

These Terms and Conditions, together with our End User License Agreement (EULA), Terms of Use, Privacy Policy, Intellectual Property & Copyright Policy, Cookie Policy, and any School-specific terms set by your Instructor, constitute the entire agreement between you and AWN AppWorks LTD regarding the use of ADI Pro.
